Terms and conditions for Innovents Membership services

1. Provider identity and scope

Innovents is the brand under which Nfactory S.r.l., with registered office at Viale Beatrice d’Este 24, 20122 Milan (MI), Italian tax code and VAT number 12495230968 (hereinafter, “Innovents” or the “Provider”), offers B2B events, community services and the Memberships described on this page. The operating address shown on the website is Via Pastrengo 14, 20159 Milan.

These terms govern the purchase and use of Innovents Memberships by individuals and companies (each, the “Customer”). Purchasing a Membership, including through Stripe checkout, constitutes acceptance of these terms.

2. Scope of Membership

Membership entitles the Customer to the benefits expressly included in the purchased plan and published at innovents.it/membership at the time of purchase. Unless otherwise agreed in writing, Membership does not include any services beyond those specified.

In particular, excluded services include, by way of example, additional visibility, expo desks, experiences, workshops, content production, special activations, additional sponsorships, business matching services and any other ancillary services. Such services may be covered by a separate quotation and agreement.

3. Plans and benefits

Personal

The Personal plan provides access for 1 attendee per event to Innovation Meetup and Spark Innovation Summit (“Spark”), plus networking and community. It does not include sponsorship, brand visibility or speaking slots.

Company Member

The Company Member plan provides access for up to 2 attendees per event to Innovation Meetup and Spark, networking and community, brand visibility and sponsorship within the limits of Article 6, and Innovation Meetup attendee lists. It does not include speaking slots.

Company Partner

The Company Partner plan provides access for up to 2 attendees per event, the visibility benefits included in Company Member, Innovation Meetup attendee lists and up to 2 speaking slots in total during the year of validity, allocated between Innovation Meetup and Spark subject to availability and Innovents’ editorial schedule.

Company Leader

The Company Leader plan provides access for up to 5 attendees per event, the visibility benefits included in Company Member, attendee lists for all events (Innovation Meetup and Spark) and up to 5 speaking slots in total during the year of validity, allocated between Innovation Meetup and Spark subject to availability and Innovents’ editorial schedule.

Attendee and speaking slot allowances cannot be transferred between plans or years, or converted into cash, credits or other services. The Customer designates its attendees and warrants that they are authorised to represent it.

4. Events, calendar and tickets

Within the limits of the purchased plan, Membership includes attendance at Innovation Meetup events during the calendar year and, for Spark, one Lite Pass ticket for each attendee included in the plan, valid for one annual edition of Spark. Innovents guarantees 10 Innovation Meetup events per calendar year and 1 Spark Innovation Summit per year.

Each included ticket covers admission and basic catering appropriate to the time of the meetup or event. Travel, accommodation, transfers, additional food and drinks, and services not expressly included in the event communication are excluded.

Dates, times, formats, speakers, programmes and venues are indicative and may change. The updated calendar, including dates and venues, is available at innovents.it/events and serves as the operational reference for Customers.

Innovents may postpone, relocate, reorganise or modify an event for organisational reasons, venue unavailability or changes, bad weather, adverse conditions, safety, strikes, health emergencies, sociopolitical events, force majeure or other circumstances beyond its reasonable control. Where reasonably possible, Innovents will provide an alternative within its annual programme. Such changes do not entitle the Customer to a refund, compensation or additional services, provided that the number of Innovation Meetup and Spark events specified in this Article is guaranteed.

5. Registration, availability and conduct

To attend each event, all attendees must register through Eventbrite within the deadlines communicated by Innovents. Membership does not replace individual registration and does not guarantee admission to anyone who has not completed registration correctly and on time.

If an event is sold out close to its date, Innovents does not guarantee attendance, including for Membership holders, where registration was not completed within the specified deadlines or capacity, safety or organisational constraints prevent further admissions. Innovents may offer a waiting list or alternatives but is not obliged to do so.

The Customer and its attendees must comply with organisational instructions, safety rules, venue regulations and third-party rights. Innovents may deny or revoke admission without a refund for unlawful, dangerous, harassing or discriminatory conduct, or conduct that may harm the event, community or Innovents’ reputation.

6. Corporate visibility

For corporate plans that include it, brand visibility consists exclusively of: (a) logo placement on Innovents’ online channels, including its website; (b) speaker cards on Innovents’ social channels where the person actually participates as a speaker; (c) offline visibility through logos on sponsor walls and/or materials at the event, subject to format and availability.

The Customer supplies its logo, company name, any guidelines and materials in accordance with the specifications and deadlines communicated. Innovents may make technical adaptations, choose placement, size, timing and format, and reject unsuitable content without incurring additional obligations. The Customer warrants that it holds the necessary rights and indemnifies Innovents against third-party claims relating to the supplied materials.

7. Speaking slots and content

Each included speaking slot lasts 5 minutes. At Innovation Meetup, the talk takes place on the single main stage; at Spark, it takes place on the Future Stage, the area dedicated to Members.

Speaking slots are subject to availability, editorial suitability, compliance with deadlines and organisational approval. Innovents may determine the date, slot, stage, moderation and arrangements, and may request content changes. Talks are informational and must not become misleading advertising or contain unlawful, offensive or editorially unsuitable content. If the speaker is unavailable, fails to follow instructions or the event changes, Innovents may reschedule the slot subject to its calendar. No refunds or replacement services are due beyond those expressly agreed.

8. Prices, payment, duration and renewal

Membership prices, billing periods and amounts are those stated on the Membership page and at Stripe checkout at the time of purchase, plus VAT where applicable. Payments are processed by Stripe under its terms and payment methods.

Annual Membership begins on the activation date unless otherwise stated at checkout or in the order confirmation. Monthly Memberships recur according to the purchased plan. For Company Partner and Company Leader corporate Memberships, monthly billing still entails a minimum annual commitment of 12 months: the Customer must pay the full annual fee in 12 monthly instalments, including if the services are not used.

On expiry, unless otherwise stated at checkout or cancelled in accordance with the applicable instructions, Membership may renew under the terms then published. Innovents reserves the right to change prices and benefits for subsequent renewals, giving notice through appropriate channels.

9. Non-payment and suspension

In the event of non-payment, declined payment, chargeback, unpaid amounts or a delay in even one instalment, Innovents may immediately suspend all Membership services and benefits, including registrations, admission, tickets, speaking slots, visibility and attendee lists, without prior notice and without prejudice to recovery of outstanding amounts, interest and further damages.

Reactivation is subject to full settlement of outstanding amounts and organisational availability. For monthly Partner and Leader plans, suspension does not release the Customer from the annual commitment under Article 8.

10. Withdrawal, cancellations and refunds

To the extent permitted by law, Membership fees are non-refundable for non-attendance, cancellation, unavailability of the designated attendee, failure to register on time or failure to use benefits. Requests to change attendees are subject to feasibility and organisational deadlines.

Where the Customer acts as a consumer, any mandatory rights under applicable law, including withdrawal rights, remain unaffected. The Customer acknowledges that services scheduled for a specific date or period may be subject to statutory exceptions. Nothing in these terms limits such mandatory rights.

11. Images, recordings and data

Photographs, video, audio and other recordings may be made during events for Innovents’ documentation, communications and promotion. Attendees are invited to raise any reasonable specific requirements before the event. Innovents cannot guarantee complete exclusion from contextual recordings.

Attendee lists included in corporate plans are provided exclusively for event-related networking. The Customer undertakes to use them in compliance with applicable law, including the GDPR, and not to transfer, publish or use them for spam or unrelated contact. Personal data processing is governed by the privacy notice made available by Innovents and, where necessary, specific consent collected through Eventbrite.

12. Intellectual property and confidentiality

Innovents’ trademarks, content, formats, materials, recordings and distinctive signs remain the property of Innovents or their respective owners. No Membership transfers intellectual property rights. The Customer may not use Innovents’ name, logo or other signs beyond the limits expressly authorised in writing.

Non-public information shared during activities, meetings or exchanges with Innovents must be treated with reasonable confidentiality. Innovents is not responsible for agreements, negotiations or relationships independently established between attendees.

13. Limitation of liability

To the fullest extent permitted by law, Innovents is not liable for indirect loss, lost opportunities, loss of profits, loss of data, reputational damage or claims arising from relationships between attendees, or for third-party service failures, including venues, ticketing platforms and payment providers. No limitation applies to wilful misconduct, gross negligence or liability that cannot legally be excluded.

14. Changes and precedence

Innovents may update these terms for regulatory or organisational reasons or as its services evolve. The version published at innovents.it/termini-e-condizioni applies. For completed purchases, essential benefits already acquired will not be changed retroactively, except as required by law, safety or force majeure.

In the event of a conflict between these terms and a proposal, order or written agreement signed by Innovents, the latter prevails solely in relation to its subject matter.

15. Governing law and jurisdiction

These terms are governed by Italian law. The courts of Milan have exclusive jurisdiction over disputes, except where mandatory consumer jurisdiction applies.
